Introduction:
LimitedLiabilityCompanies(LLCs)havebecomeapopularformofbusinessorganizationduetotheflexibilityitoffersintermsofmanagementandliabilityprotection.However,theissueofencroachmentofshareholders'preemptiverightswithinLLCshasbeenasubjectofdebateandresearch.Thispaperaimstoexaminetheconceptofpreemptiverights,theimpactoftheirinfringement,andproposepossiblesolutionstomitigatesuchissuesinLLCs.
1.PreemptiveRightsinLimitedLiabilityCompanies:
Preemptiverights,alsoknownasrightsoffirstrefusal,aretherightsgrantedtoexistingshareholderswithinacorporationtopurchasenewsharesbeforetheyareofferedtootherparties.Theserightsensurethatshareholdersaregiventheopportunitytomaintaintheirproportionateownershipinthecompany,aswellasprotecttheirinvestment.
