SUPPLYAGREEMENT
(DELIVERYOFGOODS)
Thisagreement(“Agreement”)ismadeon...........................byandbetween
SiPMbvba,acompanyorganisedandexistingunderthelawsofBelgium,havingitsregisteredofficeatKempischeSteenweg305/14,3500Hasselt,listedattheHasseltChamberofCommerceNumberxxx(hereinafterreferredtoas“SIPM”;and

alsoreferredbelowindividuallyas“Party”andtogetheras“Parties”
WhereasSiPMwishestoacquirethesupplyoftheproductsdefinedbelowandwhereasSellerwishestosupplyanddeliversuchproductstoSiPM.
SiPMandSellerrespectivelyagreetothefollowing:
1.SUPPLYOFPRODUCTS
DuringthetermofthisAgreementandanyextensionhereof,theSellershallsellandsupplytheproductsassetoutinSchedule1hereto(“Products”)toSiPMandSiPMshallbuyfromtheSellersuchProductsonanon-exclusivebasis.
ThespecificationsoftheProductsaresetoutinSchedule2hereto.
SellershallprovidetoSiPMthetechnicalinformationandmaterialinregardtotheProductsassetoutinSchedule3hereto.
2.ORDERS
EachpurchaseandsalebetweenSiPMandSellershallbeevidencedbyanorderplacedbySiPM(“Order”orinplural“Orders”)toSellerinaccordancewiththetermsandconditionsofthisAgreementandtheSellerCompanyshallacceptsuchOrdersinwritingwithin2workingdaysafterreceiptoftheOrder.IftheSellerCompanydoesnotsendawrittenorderconfirmationwithin2workingdaysafterreceiptoftheOrder,theOrdershallbedeemedtobeacceptedbytheSellerCompany.AslongasthisAgreementisinforceandeffectthetermsandconditionsofthisAgreementshallapplytoallOrdersandallorderconfirmationsofSeller.
OrdersshallbeplacedbySiPMtoSellerinwriting(including,withoutlimitation,bye-mail,fax,letter).EachOrdershallcontain
theProductsandthequantityofeachProductorderedbySiPM,
thepriceand
thedestination(address)ofdelivery(“DestinationofDelivery”).
