中英文常年法律顾问合同中英文常年法律顾问合同（精选21篇）中英文常年法律顾问合同篇1常年法律顾问合同Long-termLegalCounselingContract编号：公司（以下简称“甲方”）因业务需要，根据《中华人民共和国律师法》《民法典》之规定聘请律师事务所（以下简称“乙方”）律师担任其常年法律顾问。经双方协商，订立本合同、共同遵守。(hereinafterreferredtoas"PartyA")herebyretain(hereinafterreferredtoas"PartyB")asitsregularlegalcounsel,accordingtoLawyersLawofPeople'sRepublicofChinaandContractLawofPeople'sRepublicofChina.Bothparties,throughfriendlynegotiation,herebyagreeuponandshallbeboundbythefollowing:一、乙方接受甲方的聘请，指定律师担任甲方的常年法律顾问。遇重大事项或者业务需要，经甲方同意，乙方可以根据甲方需要，选派其他律师参与有关法律顾问工作。Article1PartyBshalldesignateAttorneytoactasregularlegalcounselsofPartyA.Incaseofmajorissuesorbusinessneeds,PartyBmaydesignateotherlawyerstoinvolveinrelevantlegalcounselingworkwithconsentofPartyA.二、常年法律顾问的工作范围：Article2ServiceScope1.为甲方生产、管理、经营等方面重大决策的合法、合规性提出法律建议；ProvidelegaladviceonlegitimacyandcomplianceofmajordecisionsmadebyPartyAconcerningproduction,administration,operation,etc;2.协助甲方审核其在生产、管理、经营活动中重大合同、协议及其他法律事务文件；AssistPartyAtoreviewmajorcontracts,agreementsandotherlegalfilesregardingproduction,administrationandoperationactivities;3.优先代理甲方参加各类项目谈判、诉讼、非诉讼交涉调解或者仲裁活动；Participateinvariousprojectnegotiation,litigation,non-litigationmediationorarbitrationactivitiesonbehalfofPartyAwithpriority;4.协助甲方对员工进行法制教育和法律培训；AssistPartyAtoconductlegaleducationandtrainingtoitsstaff;5.其他属于常年法律顾问工作范围的事务（详见附件三：《常年法律顾问工作内容》）。Otherserviceswithintheworkingscopeofregularlegalcounsel(PleaserefertoAnnexIII:ServiceScopeofRegularLegalCounsel).未经双方协商同意，乙方服务范围不包括甲方控股、参股的子公司，异地分支机构和其他关联企业的法律事务。ServicescopeofPartyBdoesnotcoverthelegalaffairsofPartyA'ssubsidiaries,branchesorotheraffiliatedenterprises,unlessotherwiseagreedbybothparties.未经双方协商同意，乙方服务范围不包括甲方涉及的民事、经济、知识产权、劳动争议、刑事、行政诉讼和仲裁；也不包括甲方涉及长期投资、融资、企业改
