Inenteringintoacontract,thepartiesshallhavetheappropriate
capacitiesforcivilrightsandcivilacts.
Apartymayappointanagenttoenterintoacontractonitsbehalfunder
thelaw.
Article10FormsofContract;WritingRequirement
Acontractmaybemadeinawriting,inanoralconversation,aswellas
inanyotherform.
Acontractshallbeinwritingifarelevantlaworadministrative

regulationsorequires.Acontractshallbeinwritingifthepartieshave
soagreed.
Article11DefinitionofWriting
Awritingmeansamemorandumofcontract,letterorelectronicmessage
(includingtelegram,telex,facsimile,electronicdataexchangeand
electronicmail),etc.whichiscapableofexpressingitscontentsina
tangibleform.
Article12TermsofContract
Thetermsofacontractshallbeprescribedbytheparties,andgenerally
includethefollowing:
(i)namesofthepartiesandthedomicilesthereof;
(ii)subjectmatter;
(iii)quantity;
(iv)quality;
(v)priceorremuneration;
(vi)time,placeandmethodofperformance;
(vii)liabili
