INDUSTRY-ACADEMICCONSULTINGAGREEMENT


ThisAgreementismadethis_____dayof_________,201_7_,byandbetween
(the“Company”),acorporationorganizedandexistingunderthelawsofthe
,and(the“Consultant”),anemployeeandfaculty
memberof,aneducationalinstitutionandcharitablecorporation
locatedin(“XXX”).

WHEREAS,theConsultant,asamemberofthefacultyatXXX
(“XXX”),ispermittedtoperformlimitedconsultingservicesforcompanies,subjecttotheterms
ofConsultant’semploymentrelationshipwithXXXandtheapplicablepoliciesandprocedures
ofand;

WHEREAS,theCompanydesiresthattheConsultantprovideadviceandassistancetothe
Companyinhisorherareaofexpertise;and

WHEREAS,theConsultantdesirestoprovidesuchadviceandassistancetotheCompanyunder
thetermsandconditionsofthisAgreement;

NOW,THEREFORE,theCompanyandtheConsultantherebyagreeasfollows:


1.ConsultingServices

(a)SubjecttothetermsandconditionsofthisAgreement,theCompanyherebyretains
Consultantasaconsultantandtechnicaladvisortoperformtheconsultingservicesspecifically
setoutinExhibitAattachedtothisAgreementandmadeaparthereof(hereafterreferredtoas
the“Services”),assaidExhibitmaybeamendedinwritingfromtimetotime,andConsultant
agrees,subjecttothetermsandconditionsofthisAgreement,rendersuchServicesduringthe
termofthisAgreement.Suchservicesshallbelimitedtotheareaofexpertisedescribedin
ExhibitA(the“Field”),asamendedinwritingfromtimetotime.Consultantshallrender
serviceshereunderatsuchtimesandplacesasshallbemutuallyagreedbyCompanyand
Consultant.Consultant’scommitmenthereundershallnotexceed___30___daysper
__year____.

(b)ItisunderstoodthatthepurposeoftheConsultingistoprovideperiodicreviewandadvice
relevanttocertainCompanymatters,andthatneitherConsultantnorCompanywillbenefitif
Consultantprovidesinaccurateadviceorcommentarybasedoninsufficientinformation.Tothat
end,CompanyshallprovideConsultant,inadvanceofmeetings,withaccurate,unbiasedand
sufficientinformationforhimtoreviewthesubjectmatterthereof,andshallpromptlyprovide
furtherinformationthatConsultantreasonablydeemsrelevanttofor
