第一篇：信托表决协议(中英文对照)信托表决协议中英文对照VOTINGTRUSTAGREEMENTAnagreementmadethis________dayof_______________,(year)___,betweenstockholdersof_______________________CorporationaCorporationorganizedunderthelawsof_______________,whosenamesarehereuntosubscribedandallotherstockholdersofthesaidcompanywhoshalljoininandbecomepartiestothisagreementashereinafterprovided,allofwhichstockholdersarehereinaftercalledsubscribers,and,__________________________whoishereinaftercalledthetrustee(s):Whereas,thesubscribersarerespectivelyownersofsharesofcommonstockintheCorporationandtheamountssetoutoppositetheirsignatureshereto;Andwhereas,withaviewtothesafeandcompetentmanagementoftheCorporation,intheinterestofallthestockholdersthereof,thesubscribersaredesirousofcreatingatrustinthefollowingmanner;Now,itisherebyagreedanddeclaredasfollows:1.Thesubscribersshallforthwithendorse,assign,anddelivertothetrustee(s)thecertificatesrepresentingthesharesofstockownedbythemrespectively,andshalldoallthingsnecessaryforthetransferoftheirrespectivesharestothetrustee(s)onthebooksoftheCorporation.2.Everyotherstockholderinthecorporationmaybecomeapartytothisagreementbysigningitandassigninganddeliveringthecertificate(s)ofhisorhersharestothetrustee(s).3.Thetrustee(s)shallholdthesharesofstocktransferredtothem,underthetermsandconditionshereinaftersetforth.4.Thetrustee(s)shallsurrendertotheproperofficeroftheCorporationthecertificatesofthesubscribers,andshallreceiveforthemnewcertificatesissuedtothemastrustee(s)underthisagreement.5.Thetrustee(s)shallissuetoeachofthesubscribersatrustcertificateforthenumberofsharestransferredbythesubscribertothetrustees.Eachtrustcertificateshallstatethatitisissuedunderthisagreement,andshallsetfortheachsubscriber'sproportionalinterestinthetrust.Thetrustee(s)shallkeepalistofthesharesofstocktransferredtothem,andshallkeeparecordofalltrustcertificatesissuedortransferredontheirbooks,whichrecordsshallcontainthenamesandaddressesofthetrustcertificateholdersandthenumberofsharesrepresentedbyeachtru
