CO-SALEAGREEMENTCO-SALEAGREEMENTthisco-saleagreement(this'agreement')ismadeandenteredintoasof_________,_________,_________(m/d/y)byandbetweenaaausa,inc.,a_________(placename)corporation(the'company'),(ii)bbb,inc.('bbb')and(iii)ccc(sb)('ccc(sb)').a.concurrentlyherewith,bbbandthecompanyareenteringintothatcertainagreement,datedasofthedatehereof(the'principalagreement;'capitalizedtermsusedhereinandnototherwisedefinedshallhavethemeaningsdefinedintheprincipalagreement),pursuanttowhich,amongotherthings,bbbwillacquiresharesofcommonstockandwarrantsinconsiderationofthelicensebybbbofthebbblogosandthebbbcontentandprovisionbybbbofcertainbroadcastadvertisingandpromotion.b.toinducebbbtoenterintotheprincipalagreement,ccc(sb)hasagreedtoenterintothisagreementandofferbbbtheopportunitytoparticipateincertainsalesofhissharesofcommonstockofthecompany.nowtherefore,inconsiderationoftheaboverecitalsandthemutualcovenantsmadeherein,thepartiesherebyagreeasfollows:1.rightofco-sale.1.1noticeofsales.intheeventccc(sb)proposestoacceptoneormorebonafideoffers(collectively,the'purchaseoffer')fromanypersonstopurchasefromhimsharesofthecommonstockofthecompany,hepromptlyshallgivewrittennotice(the'notice')tobbbdescribingfullythepurchaseoffer,includingthenumberofsharesofcommonstockproposedtobetransferred(the'shares'),theproposedbonafidetransferpriceandthenameandaddressoftheproposedtransferee.thenoticemaybeincludedasapartofanynoticerequiredtobegivenbyccc(sb)underarticleeight,section1ofthecompany'sbylaws.1.2participationright.totheextentthatthecompanyandotherstockholdersofthecompanyhavenotexercisedtheirrespectiverightsoffirstrefusaltopurchasethesharesinaccordancewitharticleeightofthecompany'sbylaws,bbbshallhavetheright(the'participationright')toparticipateinccc(sb)'ssaleofthesharesunderthetermsandconditionsspecifiedinthepurchaseoffer.totheextentbbbexercisesitsparticipationrights,thenumberofshareswhichccc(sb)maysellpursuanttothepurchaseoffershallbecorrespondinglyreduced.theparticipationrightofbbbissubjecttoth
