AssetsTransferAgreementAssetsTransferAgreementthisassetstransferagreement('thisagreement')ismadebetweenandbythefollowingpartiesinbeijingon_________,_________,_________(m,d,y).partya:aaaco.,ltd.address:_________partyb:bbbco.,ltd.address:_________whereaspartyaagreestoassigntopartybtheassetsconcernedtopartybandpartybagreestoacceptthesaidassets;therefore,thepartiesreachthefollowingagreementthroughfriendlyconsultations:article1partyaagreestoassigntheassetslistedinattachmentiofthisagreement,andpartybagreestoaccepttheforegoingassets.article2thepartiesagreethatpartyawillcompletealltheproceduresnecessaryforthetransferoftheassetslistedinattachmentiheretofrompartyatopartybwithin_________uponexecutionofthisagreement(excludingthedayofexecutionforthisagreement),whichincludebutarenotlimitedtothehand-overofcertificationofownershipforsuchassetsandthehandlingofregistrationprocedures(ifapplicable).article3partybwillpaypartyaanassignmentfeeof_________fortheassetsassignedbypartya.article4thepartiesagreethatthetitleoftheassetslistedinattachmentiheretowillbetransferredtopartybonthe_________uponexecutionofthisagreement.partyashallberesponsibleforalltheliabilitiesandrisksinvolvingthetitletransferoftheassetslistedinattachmentiheretopriortosuchtransfer(nomattersuchliabilitiesandrisksareclaimedbeforeorafterthetransferofsuchtitle),forwhichpartybshallbearnoliabilitiesandobligations.incasepartybdoesnotreceivetheforegoingassetswithin_________uponexecutionofthisagreement,partyashallcompensatein_________.article5representationandguarantee5.1partyrepresentsandguaranteesasfollows:(a)partyaisacompanyincorporatedandvalidlyexistingpursuanttothechineselaws;(b)byexecutingandperformingthisagreement,partyadoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement;and(c)partyaisentitledtotheownershipoftheassetslistedinattachmentiheretoandhasnotplacedmortgageoranythirdparty'sinterestsagainstsuchownersh
