EXW(insertnamedplaceofdelivery)Incoterms2010
GUIDANCENOTE
Thisrulemaybeusedirrespectiveofthemodeoftransportselectedandmayalsobeusedwheremorethanonemodeoftransportisemployed.
Itissuitablefordomestictrade,whileFCAisusuallymoreappropriateforinternationaltrade.
“ExWorks”meansthatthesellerdeliverswhenitplacesthegoodsatthedisposalofthebuyerattheseller’spremisesoratanothernamedplace(i.e.,works,factory,warehouse,etc.).Thesellerdoesnotneedtoloadthegoodsonanycollectingvehicle,nordoesitneedtoclearthegoodsforexport,wheresuchclearanceisapplicable.
Thepartiesarewelladvisedtospecifyasclearlyaspossiblethepointwithinthenamedplaceofdelivery,asthecostsandriskstothatpointarefortheaccountoftheseller.Thebuyerbearsallcostsandrisksinvolvedintakingthegoodsfromtheagreedpoint,ifany,atthenamedplaceofdelivery.
EXWrepresentstheminimumobligationfortheseller.Theruleshouldbeusedwithcareas:
a)Thesellerhasnoobligationtothebuyertoloadthegoods,eventhoughinpracticethesellermaybeinabetterpositiontodoso.Ifthesellerdoesloadthegoods,itdoessoatthebuyer’sriskandexpense.Incaseswherethesellerisinabetterpositiontoloadthegoods,FCA,whichobligesthesellertodosoatitsownriskandexpense,isusuallymoreappropriate.
b)AbuyerwhobuysfromaselleronanEXWbasisforexportneedstobeawarethatthesellerhasanobligationtoprovideonlysuchassistanceasthebuyermayrequiretoeffectthatexport:thesellerisnotboundtoorganizetheexportclearance.BuyersarethereforewelladvisednottouseEXWiftheycannotdirectlyorindirectlyobtainexportclearance.
c)Thebuyerhaslimitedobligationstoprovidetotheselleranyinformationregardingtheexportofthegoods.However,thesellermayneedthisinformationfor,e.g.,taxationorreportingpurposes.
ATHESELLER’OBLIGATIONS
A1Generalobligationsoftheseller
Thesellermustprovidethegoodsandthecommercialinvoiceinconformitywiththecontractofsaleandanyotherevidenceofconformitythatmayberequiredbythecontract.AnydocumentreferredtoinA1-A10maybeanequivalentelectronicrecordorprocedureifagreedbetweenthepartiesorcustomary
